PRESENCE MEMBERSHIP AGREEMENT

Effective Date: July 26, 2026

Welcome to Presence. This Membership Agreement ("Agreement") governs your application for, enrollment in, and use of the Presence platform ("Presence," "we," "our," or "us"). By applying for or using Presence, you agree to the terms below.

1. Our Philosophy

Presence is a private membership community designed to foster authentic, intentional relationships through meaningful conversation and real human connection.

Membership is a privilege—not a guarantee—and is extended to individuals who align with our values and community standards.

2. Eligibility

To become a Presence member, you represent and warrant that you:

  • Are at least 25 years of age (or the minimum legal age in your jurisdiction).

  • Have the legal capacity to enter into this Agreement.

  • Will provide truthful and accurate information during registration.

  • Will maintain only one personal membership account unless expressly authorized by Presence.

Presence reserves the right to verify identity at any time.

3. Membership Approval

Submitting an application does not guarantee acceptance.

Presence may:

  • Approve applications

  • Decline applications

  • Place applicants on a waitlist

  • Request additional verification

  • Revoke invitations before activation

Presence is under no obligation to disclose reasons for membership decisions.

4. Membership Plans

Presence may offer different membership levels, including but not limited to:

  • Founding Member

  • Gold Membership

  • Elite Membership

Features, pricing, and benefits may vary by membership tier.

Membership benefits may change as the platform evolves.

5. Membership Fees

Membership fees are billed according to the selected plan.

By enrolling in a paid membership, you authorize Presence to charge your selected payment method for:

  • Membership fees

  • Applicable taxes

  • Authorized upgrades

  • Renewal charges (if applicable)

All fees are displayed before purchase.

6. Renewals

Unless otherwise stated, memberships automatically renew at the end of each billing period.

You may cancel renewal at any time before your next billing date.

Cancellation does not automatically entitle you to a refund.

7. Refund Policy

Except where required by law:

  • Membership fees are non-refundable.

  • Partial billing periods are not prorated.

  • Promotional pricing cannot be applied retroactively.

Presence may issue refunds at its sole discretion.

8. Community Standards

Members agree to interact respectfully with others.

The following conduct is prohibited:

  • Harassment

  • Hate speech

  • Threats

  • Stalking

  • Discrimination

  • Impersonation

  • Fraud

  • Sharing another member's private information

  • Recording video interactions without permission

  • Solicitation or spam

  • Commercial advertising without authorization

Violation of these standards may result in suspension or termination.

9. Video & Communication Standards

Presence is designed around authentic interaction.

Members agree to:

  • Present themselves honestly.

  • Use recent and accurate profile information.

  • Participate respectfully during video interactions.

  • Avoid deceptive or manipulated representations.

Presence may remove accounts that repeatedly violate these standards.

10. Safety

Presence encourages responsible use of the platform.

Members are solely responsible for decisions made during or after interactions with other members.

Presence does not conduct comprehensive background investigations unless expressly stated.

Users should exercise personal judgment when meeting others.

11. Privacy

Your use of Presence is also governed by our Privacy Policy.

By becoming a member, you consent to the collection, storage, and processing of information necessary to operate the platform.

12. Intellectual Property

All Presence branding, software, graphics, logos, text, trademarks, videos, features, and proprietary systems remain the exclusive property of Presence.

Members receive a limited, non-transferable license to access the platform for personal use only.

No ownership rights are transferred.

13. Acceptable Use

Members agree not to:

  • Reverse engineer the platform

  • Attempt unauthorized access

  • Scrape user information

  • Circumvent security features

  • Use bots or automated software

  • Copy proprietary content

  • Resell access

14. Account Suspension or Termination

Presence reserves the right to suspend or terminate membership for:

  • Violation of this Agreement

  • Fraudulent activity

  • Criminal behavior

  • Abuse toward other members

  • Payment failure

  • Conduct that harms the Presence community

Termination may occur without prior notice when necessary to protect the platform or its members.

15. Limitation of Liability

To the fullest extent permitted by law, Presence, its owners, officers, employees, affiliates, and partners shall not be liable for:

  • Indirect damages

  • Consequential damages

  • Lost profits

  • Emotional distress

  • Personal relationship outcomes

  • Actions of other members

Use of the platform is at your own risk.

16. Indemnification

You agree to defend, indemnify, and hold harmless Presence and its affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:

  • Your use of the platform

  • Your interactions with other members

  • Your violation of this Agreement

  • Your violation of applicable law

17. Changes to Membership

Presence may modify:

  • Membership benefits

  • Pricing

  • Features

  • Eligibility requirements

  • Community standards

Material changes will be communicated through the platform or by email.

18. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

19. Dispute Resolution

Before initiating legal action, both parties agree to attempt to resolve disputes through good-faith negotiation.

If unresolved, disputes shall be resolved through binding arbitration in Georgia, except where prohibited by applicable law.

Nothing in this section prevents either party from seeking emergency injunctive relief to protect intellectual property or confidential information.

20. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Presence regarding your membership.
